i-Tail Corporation Public Company Limited ("i-Tail") announced that its Extraordinary General Meeting of Shareholders No. 1/2026, held on 24 August 2026, approved a transaction to enhance the management of the company's excess cash through lending to Thai Union Group Public Company Limited ("Thai Union") of up to THB 6 billion. 93.7% of shareholders attending the meeting and entitled to vote voted in favor of the transaction, exceeding the threshold of not less than three-fourths under applicable regulations. Thai Union Group, as an interested shareholder, did not participate in the vote.

We remain committed to conducting our business with transparency, good governance and a clear focus on protecting the long-term interests of all our shareholders."The transaction is expected to optimize returns from i-Tail's excess cash while maintaining sufficient liquidity to support normal business operations and future investment opportunities. Under the approved terms, the facility includes safeguards designed to protect the interests of i-Tail and shareholders, including limits on the amount that can be lent, i-Tail's ability to recall funds, and regular review of the recall option by disinterested directors.
